1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FarmOps360 ("Company," "we," "us," or "our") governing your access to and use of the FarmOps360 platform, including all associated software, features, mobile applications, APIs, and services (collectively, the "Service").
By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
2. Description of Service
FarmOps360 is a Software-as-a-Service (SaaS) farm management platform designed to help agricultural operators manage fields, equipment, crops, financials, and operational data in a unified environment. The Service includes tools for:
- Field and crop planning and tracking;
- Equipment and asset management;
- Financial benchmarking and revenue insights;
- Weather and growing degree unit (GDU) correlation;
- Input application logging;
- Data-driven recommendations powered by artificial intelligence; and
- Optional participation in the Crop Vault data marketplace.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.
3. Accounts and Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@farmops360.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account credentials.
4. Data Ownership and Your Content
You retain full ownership of all operational, agricultural, and financial data you enter into the Service ("Your Data"). Nothing in these Terms transfers ownership of Your Data to FarmOps360.
By using the Service, you grant FarmOps360 a limited, non-exclusive, worldwide, royalty-free license to access, process, store, and use Your Data solely to the extent necessary to provide, maintain, and improve the Service, and to perform our obligations under these Terms. This license terminates when you close your account, subject to the data retention provisions in Section 5.
5. Data Retention and Post-Termination Handling
5.1 Retention During Active Use
We retain Your Data for the full duration of your active subscription or account relationship with FarmOps360. This includes all field records, equipment logs, financial data, input application history, and any other data you have entered into the platform. Data is retained to enable continuity of service, historical analysis, and compliance with applicable legal obligations.
5.2 Retention After Account Closure
Upon account closure or termination of your subscription, we will retain identifiable copies of Your Data for a period of up to ninety (90) days, during which you may request a full export of Your Data by contacting support@farmops360.com. After this period, identifiable personal data will be deleted or de-identified in accordance with our Privacy Policy, unless a longer retention period is required by law.
5.3 Anonymization and Aggregation After Departure
Following the deletion of identifiable personal data after account closure, FarmOps360 may retain and continue to use anonymized and aggregated versions of Your Data. Anonymized data has been processed such that it can no longer be reasonably linked back to you or your specific operation. This anonymized data may be used for:
- Platform improvement, benchmarking, and analytics;
- Agricultural research and trend analysis;
- Training and improving AI models used within the Service; and
- Inclusion in aggregated datasets within the Crop Vault marketplace, where individual farms cannot be identified.
Anonymization is permanent — once data is anonymized, it cannot be re-identified or deleted upon request because it no longer constitutes personal information under applicable law.
6. Data Sharing and Third-Party Disclosure
6.1 No Sale or Sharing Without Opt-In
FarmOps360 does not sell, rent, lease, or share your identifiable personal data or operational farm data with third parties for their independent marketing or commercial purposes without your explicit, affirmative opt-in consent. This includes data shared with participants in the Crop Vault data marketplace — participation in Crop Vault is entirely voluntary and requires a separate opt-in as described in Section 7.
6.2 Service Provider Exceptions
We may share Your Data with trusted third-party service providers who assist us in operating the Service, including cloud infrastructure providers, payment processors, analytics vendors, SMS and email delivery providers, and customer support platforms. These providers are contractually obligated to process Your Data only as directed by FarmOps360 and in accordance with our Privacy Policy. They are not permitted to use Your Data for their own independent purposes.
6.3 Legal Disclosures
We may disclose Your Data if required by law, regulation, legal process, or governmental request, or where necessary to protect the rights, property, or safety of FarmOps360, our users, or the public.
7. Crop Vault Data Marketplace (Optional Opt-In)
The Crop Vault is an optional data marketplace program through which you may choose to make anonymized versions of your operational data available to agricultural businesses, including input suppliers, manufacturers, crop insurers, lenders, and research institutions, in exchange for a revenue share of 10–30% of amounts generated from access to your data.
Participation in Crop Vault requires a separate, explicit opt-in and is governed by the Crop Vault Participation Agreement presented at the time of enrollment. You may withdraw from Crop Vault at any time through your account settings. Withdrawal from Crop Vault does not affect your access to the FarmOps360 platform.
8. Third-Party Data Enrichment
8.1 How We Enrich Your Data
To provide you with more accurate insights, recommendations, and decision-support tools, FarmOps360 may supplement Your Data with information obtained from third-party sources. This enrichment process combines your operational data with external datasets to improve the quality and relevance of the recommendations delivered to you through the Service.
8.2 Sources of Enrichment Data
Enrichment data may include:
- Publicly Available Information: Government agricultural databases (e.g., USDA, NRCS, FSA records), public weather station data, commodity price indices, county-level yield records, soil survey data (SSURGO), and other publicly accessible agronomic or economic information;
- Paid Commercial Data Providers: Licensed datasets from third-party agricultural data providers, market intelligence platforms, weather and climate analytics services, equipment telematics networks, and other commercial sources; and
- Derived Benchmarks: Aggregated and anonymized benchmarks derived from across the FarmOps360 user base to provide comparative performance context.
8.3 Purpose of Enrichment
Enrichment data is used exclusively to enhance the accuracy of recommendations and insights delivered to you within the Service — for example, crop variety performance comparisons, input cost benchmarks, risk alerts, and agronomic guidance. FarmOps360 does not sell or provide your enriched data profile to third parties. Third-party data providers who supply enrichment data do not receive Your Data in return.
8.4 No Guarantee of Accuracy
While we strive to use high-quality enrichment sources, FarmOps360 does not warrant the accuracy, completeness, or fitness for purpose of any third-party data used to enrich your records. Recommendations generated using enrichment data are informational in nature and do not constitute agronomic, financial, legal, or professional advice. You are solely responsible for decisions made based on information provided by the Service.
9. Cloud Infrastructure and Data Storage
9.1 Cloud-Based Service
FarmOps360 is a cloud-hosted SaaS platform. All data you enter into the Service — including field records, equipment data, financial information, and operational logs — is transmitted over the internet and stored on cloud infrastructure operated by or on behalf of FarmOps360. By using the Service, you acknowledge and accept that your data will be stored in the cloud and transmitted electronically.
9.2 Cloud Infrastructure Providers
We use industry-leading cloud infrastructure providers that maintain enterprise-grade security, redundancy, and compliance certifications. Our infrastructure providers process Your Data solely as directed by FarmOps360 and under contractual data processing obligations consistent with this policy. We will update our Privacy Policy if we materially change our primary cloud infrastructure provider.
9.3 Data Location
Your Data is primarily stored in data centers located in the United States. If you access the Service from outside the United States, you acknowledge that your data will be transferred to and processed in the United States, where data protection laws may differ from those of your jurisdiction. By using the Service, you consent to this transfer.
9.4 Security
We implement industry-standard security measures including encryption in transit (TLS) and at rest, role-based access controls, and regular security assessments. However, no cloud system is completely immune to unauthorized access. You acknowledge that you use the Service and store data in the cloud at your own risk, and that FarmOps360's liability for data breaches is limited as described in Section 13.
10. Artificial Intelligence and Automated Decision Support
10.1 Use of AI Within the Service
FarmOps360 incorporates artificial intelligence technologies, including generative AI and agentic AI systems, to deliver features such as automated recommendations, predictive analytics, natural language interfaces, report generation, and autonomous task execution. By using the Service, you acknowledge and accept that AI systems — including large language models, machine learning models, and autonomous AI agents — are an integral part of the Service.
10.2 Generative AI
Certain features of the Service use generative AI to produce text, summaries, analyses, recommendations, and other content based on your operational data and enrichment sources. Generative AI outputs are produced algorithmically and may contain inaccuracies, omissions, or content that does not reflect current conditions. You should independently verify any material information before acting on it. FarmOps360 does not warrant the accuracy or completeness of generative AI outputs.
10.3 Agentic AI
FarmOps360 may include agentic AI features that can autonomously take actions within the platform on your behalf — such as scheduling tasks, generating reports, triggering alerts, or executing workflows — based on your instructions, data, and defined parameters. By enabling agentic AI features, you authorize FarmOps's AI systems to act within the scope of the permissions you have configured. You remain solely responsible for reviewing, approving, and acting upon any actions initiated or recommended by agentic AI systems. FarmOps is not liable for outcomes resulting from autonomous AI actions you have authorized.
10.4 AI and Your Data
Your Data may be used to generate AI-powered insights and recommendations within the Service. With your separate opt-in consent, anonymized versions of your data may also contribute to the training and improvement of AI models used within the platform. You will always be informed and given the opportunity to opt out of AI model training use before any such use occurs.
10.5 No Professional Advice
AI-generated outputs, recommendations, and analyses provided through the Service are informational tools only. They do not constitute agronomic, financial, legal, insurance, or any other form of professional advice. You should consult qualified professionals before making significant operational, financial, or legal decisions.
11. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to any part of the Service, other accounts, or FarmOps360's systems;
- Introduce malicious code, viruses, or harmful data into the Service;
- Scrape, harvest, or extract data from the Service except through our authorized API;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service to transmit unsolicited commercial communications; or
- Resell, sublicense, or provide access to the Service to unauthorized third parties.
12. Intellectual Property
All rights, title, and interest in and to the Service — including the software, platform design, algorithms, AI models, trademarks, logos, and documentation — are owned by FarmOps360 or its licensors. Nothing in these Terms grants you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your own internal farm management purposes during the term of your subscription.
You retain all intellectual property rights in Your Data. Any feedback, suggestions, or ideas you provide regarding the Service may be used by FarmOps360 without obligation to you.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. FARMOPS360 DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ANY AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FARMOPS360 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CROP YIELD, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL FARMOPS360'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FARMOPS360 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless FarmOps360 and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
16. Term and Termination
These Terms remain in effect for the duration of your use of the Service. Either party may terminate the relationship at any time. You may terminate by closing your account. We may terminate or suspend your account immediately if you materially breach these Terms, engage in fraudulent activity, or fail to pay applicable subscription fees after notice.
Upon termination, your right to access the Service ceases immediately. Sections 4, 5, 6, 8, 12, 13, 14, 15, and 17 survive termination.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
You waive any right to participate in a class-action lawsuit or class-wide arbitration related to the Service.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email or in-platform notification. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
19. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription or order forms, constitute the entire agreement between you and FarmOps360 regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement.
- Assignment: You may not assign these Terms or your account without our prior written consent. FarmOps360 may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: FarmOps360 is not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, internet outages, or government actions.
